Q: How can i change my address on the register of shareholders? 

A: A letter signed by the Shareholder requesting the change of address should be mailed to Trust Company (Guyana) Limited, or scanned and emailed along with a copy of: 

  • The Shareholder’s identification card or passport; and 
  • Recent proof of address 

Alternatively, if practical, the Shareholder may visit Trust Company (Guyana) Limited with the following documents: 

  • Identification card or passport 
  • Recent proof of address 

Note: For the purpose of any DDL share transactions, proof of address may be in the form of any of the following documents, or such other documents notified by the Company from time to time, which documents must have been issued within the three (3) months immediately preceding the transaction: 

  1. utility bill 
  2. tax assessment certificate 
  3. bank statement 
  4. letter from a public authority received via post 

 

Q: How can i make changes to the name(s) in which shares are held? 

A: A letter signed by the Shareholder requesting the change of name should be mailed to Trust Company (Guyana) Limited along with the following: 

  • Certified copy of identification card or passport 
  • Certified copy of document supporting the name change i.e. Marriage Certificate, Divorce
    Absolute, Deed Poll or Affidavit of Identity 
  • Original Share Certificate(s) to be amended
    Alternatively, Shareholder(s) desirous of effecting a change of name(s) on the Share Certificate may visit Trust Company (Guyana) Limited with the above-mentioned documents. 

Q: How can i transfer my shares to another person? 

A: The proposed transferor(s) and transferee(s) may: 

(i) visit Trust Company (Guyana) Limited with the following documents, where the transfer form will be completed and signed: 

  • Identification card/passport for transferor(s) and transferee(s) 
  • Recent proof of address for transferor(s) and transferee(s) 
  • Original share certificate(s) for the total amount of shares being transferred 
  • Transfer fee and stamp duty $170.00 

(ii) if the proposed transferor and transferee are unable to visit the Office in person, certified copies of the documents list at (i) above will be required and either a Bank Manager, Notary Public or Guyana Consulate should sign and stamp the transfer form. 

 

Q: Could my dividends be sent to my bank account? if so, how? 

A: A letter signed by the Shareholder desirous of changing dividend payment instructions may be mailed to Trust Company (Guyana) Limited, or scanned and emailed along with a copy of identification card or passport. 

Alternatively, the Shareholder(s) may visit Trust Company (Guyana) Limited with the following documents: 

  • Identification card or passport 
  • Bank information 

 

Q: One of my relatives has just died. What steps do i need to take to have the shares transferred into my name, as beneficiary? 

A: The first step is to write to Trust Company (Guyana) Limited formally notifying same of the death of the Shareholder. The notification letter should be accompanied by a Death Certificate. 

Trust Company (Guyana) Limited will then place a temporary marker on the Share Register to ensure that, wherever possible, further dividend payments and other correspondences in the deceased shareholder’s name are not issued. 

You should then submit to the Trust Company (Guyana) Limited the following documents: 

  • A certified copy of the Death Certificate; 
  • An original or certified copy of Probate or Letters of Administration, when available; 
  • A certified copy of the Will and the Share Certificate(s) 

Once the Grant has been noted in our records, we will arrange to have the shares transferred into the name of the beneficiary. For further details, please contact the Trust Company (Guyana) Limited. Probate or Letters of Administration is a document granted by the Courts giving authority to a person or persons to administer an estate. 

Demerara Distillers Limited (DDL) suggests that independent legal advice regarding the procedure for obtaining Probate or Letters of Administration be obtained. 

 

Q: Can shares be registered in a minor’s name? 

A: No, transferees must be eighteen (18) years or older. However, shares may be held in the parent or guardian’s name until the minor attains legal age. 

 

Q: How often are dividends paid? 

A: Historically, dividends have been paid twice per year, usually around April and December. However, the payment of dividends is subject to the Company’s performance and profitability as well as based on the recommendation by the Board of Directors. 

 

Q: I reside outside of guyana; can i still transfer my shares? 

A: Yes, you can. The following documents will be required: 

  • Certified copy of identification card/passport for proposed transferor and transferee; 
  • Certified copy of recent proof of address for proposed transferor and transferee; 
  • Original Share Certificate(s) for the total number of shares being transferred; 
  • Transfer forms duly signed by proposed transferor(s) and transferee(s) with signatures witnessed by either a Bank Manager, Notary Public or Guyana Consulate, who must affix their official stamp on the form 
  • Transfer fee and stamp duty $170.00 

 

Q: What should i do if i have lost or misplaced my share certificate(s)? 

A: A Share Certificate may be replaced if it is lost, destroyed or misplaced. Trust Company (Guyana) Limited will have to advertise the details in a local newspaper. One (1) month from the date of advertisement, a replacement Share Certificate will be prepared. 

Shareholder(s) will be required to: 

a) Complete and sign our Indemnity Form (obtained form from www.trustcompanygy.com) 

b) Provide a copy of their identification card or passport 

c) Pay a fee of G$1,500.00 

Please note that, all signature(s) must be witnessed and stamped by either a Bank Manager, Notary Public or Guyana Consulate. The witness should specifically state that he is witnessing their signature.
